Goldman Sachs IB Analyst Superday面试题和答案

面完高盛的Superday，我只想说，活着真好。如果你觉得之前的面试都只是热身，那GS的Superd ay就是真正的铁人三项。这不仅仅是面试，更是对你体力、脑力和心理素质的极限考验。这篇复盘，希望能帮你在这场残酷的淘汰赛里，多一分胜算。

我的Superday是3轮背靠背的面试，每轮大概20-30分钟。面试官阵容很强大，有Associate, VP, 甚至还有MD。形式上，有1v1，也有2v1。感觉GS很看重你和不同level的人的沟通能力。整体感觉Behavioral和Technical问题对半开，但Technical问题问得非常深，不是背背概念就能糊弄过去的。

Technical Questions

Walk me through a DCF. 思路:

先从Projecting Free Cash Flow (FCF)开始。FCF = EBIT * (1 - Tax Rate) + D&A - CapEx - Change in NWC。
然后是计算Terminal Value。可以说用Gordon Growth Model或者Exit Multiple Method。
接着是Discount FCF and Terminal Value to Present Value。这里要提到WACC (Weighted Average Cost of Capital)作为discount rate。
最后，Sum up the present values to get the Enterprise Value. 从Enterprise Value到Equity Value，需要减去Net Debt, Preferred Stock, 和Non-controlling Interest。

Walk me through an LBO. 思路:

首先是做出Assumptions，比如Purchase Price, Debt/Equity ratio, Interest Rate on Debt, and other financing details。

2. 然后创建Sources & Uses table，展示交易的资金来源和去向。

3. 接着是调整公司的Balance Sheet，加入新的Debt和Equity。

之后是Project the Company's three financial statements over a certain period (usually 5-7 years)。
最后计算Exit Multiple at the end of the projection period to calculate the exit Enterprise Value. 然后计算IRR。

How do the three financial statements link together? 思路:

Net Income from the Income Statement flows into the top line of the Cash Flow Statement and also into Retained Earnings on the Balance Sheet.
Beginning Cash on the Cash Flow Statement comes from the prior period's Balance Sheet.
Ending Cash on the Cash Flow Statement becomes the cash balance on the current period's Balance Sheet.
Changes in Balance Sheet items like NWC, CapEx, and Debt affect the Cash Flow Statement.

Behavioral Questions

Why Investment Banking? 要从自己的兴趣和职业规划出发。思路:

1. 表达对金融市场的热情，以及IB作为金融市场核心的地位。

2. 强调IB工作的挑战性和学习曲线。

3. 结合自己的经历，说明你的技能和性格很适合IB。

Why Goldman Sachs? 思路:

1. 先夸公司。可以提GS的行业地位、文化，以及在某些特定领域的优势。

2. 然后说你为什么fit。可以提你和GS的员工聊过，他们的经历让你很向往。

3. 最后表达你的贡献。说明你的加入能为公司带来什么价值。

Tell me about a recent deal you've been following. 思路:

1. 选择一个最近的、你比较了解的M&A deal。

2. 简要介绍交易双方、交易规模和背景。

3. 分析交易的strategic rationale。

4. 可以提一下你对交易的看法。

Market Questions

What are some recent market trends? 思路:

1. 选择2-3个你熟悉的市场趋势来谈。

2. 比如可以谈谈最近Fed的货币政策对资本市场的影响，或者某个行业的投资热点。

3. 最好能结合具体的例子来支撑你的观点。
